These Terms of Service ("Terms") constitute a legally binding agreement between you and DBChat ("we," "our," or "us") regarding your access to and use of the DBChat AI database assistant service, including any associated mobile and desktop applications (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Service.

2. Service Description

DBChat is an AI-powered database assistant that allows you to interact with your databases using natural language. Our Service enables you to query, analyze, and visualize your database information without writing complex SQL queries.

We reserve the right to modify, suspend, or discontinue the Service (or any part or content thereof) at any time with or without notice. We shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

3. Eligibility and Registration

To use our Service, you must be at least 18 years of age and capable of forming a binding contract. If you are accessing or using our Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

• Ensure that you log out from your account at the end of each session
• Take responsibility for all activities that occur under your account

You agree not to use the Service to:

• Interfere with or disrupt the integrity or performance of the Service

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into the Service without any obligation to compensate you.

6. Subscription and Payment

Some features of the Service may require a subscription. By subscribing to a paid plan, you agree to pay the fees associated with that plan. All fees are exclusive of taxes unless otherwise stated.

You authorize us to charge the payment method you provide for the applicable fees. Subscription fees are billed in advance on a recurring basis based on your chosen billing cycle (monthly or annually). You can cancel your subscription at any time, but no refunds will be provided for the current billing period.

We reserve the right to change our prices at any time. If we do change prices, we will provide notice of the change on the Site or by email, at our option, at least 14 days before the change is to take effect.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DBChat AND ITS SUPPLIERS AND LICENSORS HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NEITHER DBChat NOR ITS SUPPLIERS AND LICENSORS MAKE ANY WARRANTY THAT THE SERVICE WILL BE ERROR FREE OR THAT ACCESS THERETO WILL BE CONTINUOUS OR UNINTERRUPTED.

8. Limitation of Liability

IN NO EVENT WILL DBChat, OR ITS SUPPLIERS OR LICENSORS, BE LIABLE WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR: (I) ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES; (II) THE COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR SERVICES; (III) FOR INTERRUPTION OF USE OR LOSS OR CORRUPTION OF DATA; OR (IV) FOR ANY AMOUNTS THAT EXCEED THE FEES PAID BY YOU TO DBChat UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION. DBChat SHALL HAVE NO LIABILITY FOR ANY FAILURE OR DELAY DUE TO MATTERS BEYOND THEIR REASONABLE CONTROL. THE FOREGOING SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

9. Indemnification

You agree to indemnify and hold harmless DBChat, its contractors, and its licensors, and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Service, including but not limited to your violation of this Agreement.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate these Terms at any time by discontinuing use of the Service and canceling your account. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website and updating the "Last Updated" date at the top. You are advised to review these Terms periodically for any changes. Changes to the Terms are effective when they are posted.

Your continued use of the Service after the revised Terms are posted constitutes your acceptance of the changes.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding relating to your access to or use of the Service shall be brought exclusively in the federal or state courts located in San Francisco, California.
